Chapter 1: General
Article 1: The full name of the association is ASIA-PACIFIC CABLE INDUSTRY ASSOCIATION, shorted for APC, with Chinese name 亚太线缆产业协会.
Article 2: Missions and goals of the association are: a.extensively develop communication and cooperation with international organizations related to cable business; b.establish and maintain the healthy global ecology of cable industry; better serve the fast, stable and secure global communication network; c. promote the product research &development and business developmentrelated to cable industry; more effectively serve the rapid development of the global information demand.
Article 3: The association is based in Hong Kong, China.
Chapter 2: Scope of Business
1) organizing industry-related activities to promote cooperation among member units;
2) safeguarding the legitimate rights and interests of member units;
3) cooperating closely with research institutions in related industries;
4) assisting member units to carry out international capacity cooperation;
5) and providing advice and suggestions for the development of member units.
Chapter 3: Membership
Article 4: Our members are divided into enterprise members and individual members.
Article 5: Requirements for Membership Application
1). In support of APC’s Constitution and full fulfillment of responsibilities and obligations stipulated by the Association;
2). Enterprises, institutions and social organizations which have (independent) legal personality in cable industry and related industries;
3). Enthusiastic support in activities held by APC;
4). Individuals that impose certain impact on cable industry and related industries.
Article 6: Procedures for Being Members
1). Enterprise member appliers send the APC Application Form (enterprise version) with the official seal of the unit in duplicate, together with a copy of Business License or Certificate of Incorporation as well as relevant business operating license and qualification certificate, to the Secretariat of the Asia-Pacific Cable Industry Association.
2). Individual member appliers send the APC Application Form (individual version) in duplicate, together with a copy of ID card (front and back) and a copy of other available related qualification certificates, to the Secretariat of the Asia-Pacific Cable Industry Association.
3). Examination and verification as well as approval by Board of Directors or standing Board of Directors.
4). Reception of a membership card issued by the specific body authorized by the Board of Directors or standing Board of Directors.
Article 7: Rights Entitled to Members
1). The right to vote, the right to be elected, and the voting power
2). Engagement in domestic and abroad activities held by APC
3). Priority of services provided by APC
4). Preferential treatment for paid services provided by APC
5). Right of suggestion, recommendation and supervision of APC
6). Voluntary membership
Article 8: Obligations Fulfilled by Members
1). Abidance by the Constitution of APC and enforcement of the resolution made by Board of Director
2). Safeguard for the legitimate interests of APC
3). Completion of tasks assigned by APC
4). Payment of membership dues as required
5). Providing relevant information and ideas
Members who do not pay their dues or do not participate in the activities held by APC for one year are deemed to withdraw automatically.
Article 9: Members of APC shall abide by the Constitution of APC, the Code of Public Relations and Professional Ethics, and shall not engage in any activities which are detrimental to the reputation of APC. If there is any violation, the membership shall be revoked by a vote of Board of Directors.
Chapter 4: Sub Organization of APC
Article 10: The highest authority of APC is the Member Congress, whose functions and powers are
1) Formulation and amendment of Constitution
2) Elections and dismissals
3) Validation of work report and financial report of Board of Directors
4) Decision to terminate affairs
5) Decision to other important matters
Article 11: Member Congress must be attended by more than 2 / 3 of the members' representatives and its resolution must be approved by more than half of the members representatives present at the meeting before it can take effect.
Article 12: The Congress is held every three years. In case that special circumstances make the Congress advanced or postponed , it shall be voted by the Board of Directors .
Article 13: The Board of Directors is responsible to the Member Congress. The Board of Directors leads the daily work of APC during the intersessional period.
Article 14: Rights of Board of Directors
1) Implementation of resolutions of Member Congress
2) Election and removal of the President, Vice President, Secretary-General and standing director
3) Preparation for convening Member Congress
4) Report to the Member Congress on performance and financial situation, as well as amendment of Constitution
5) Determination of membership’s qualification
6) Development of an internal management system
7) Decision to other important matters
Article 15: The Board of Directors shall serve for a term of five years and shall be eligible for re-election. Generally, members of the Board of Directors shall be representatives of the member units, and the number of members shall not exceed 1/4 of the total number of members. If necessary, they may have honorary director.
Article 16: The Board of Directors meets at least once a year or, in exceptional cases, by means of communications or teleconferences.
Article 17: The Board of Directors shall have a standing Board of Directors, whose members are selected from Board of Directors. During the intersessional period, standing Board of Directors shall exercise its first, third, fifth, sixth and seventh functions, and shall be accountable to Board of Directors.
Article 18: Resolution of Board of Directors shall not take effect until 2 / 3 of the present standing directors adopt by voting.
Article 19: The standing Board of Directors shall meet at least once or twice a year, in exceptional cases, ad hoc meetings will be held.
Article 20: The President, Vice President and Secretary General of APC must have the following qualifications:
1) Great influence on cable industry and related industries.
2) A sound physical condition for normal working tasks
Article 21: The President:
1) The president of the association is elected (rotatedly) by the vice president member companies.
2) Convening and presiding over the standing Board of Directors and Member Congress
3) Inspection of the implementation of resolutions of Member Congress, Board of Directors (or standing Board of Directors)
4) Signature and implementation of relevant important documents on behalf of APC
5) Recommendation of Consultants and Honorary Directors of APC;
Article 22: The Secretary General of APC shall exercise the following functions and powers:
1) Responsible for the daily work of the Secretariat and organize the implementation of the annual work plan
2) Nomination of Deputy-Secretary-General and Principal Heads of Departments and Organizations in APC
3) Determining the employment of staff in various institutions of APC
Chapter 5: Management and Acceptable Use Policy of Asset
Article 23: Source of funds
1) Membership dues
2) Donation
3) Governmental patronage and fund sponsorship
4) Income from activities or services carried out within the approved scope of operations
5) Interest
6) Other legal income
Article 24: The funds of APC shall be used for the development of undertakings within business scope stipulated in Constitution of APC.
Article 25: A strict financial management system shall be established to ensure that the accounting data is legal, true, accurate and complete.
Chapter 6: Supplementary provisions
Article 26: Right to interpret the Constitution belongs to Board of Directorsof APC.
Article 27: The Constitution of APC shall enter into force on the date of approval by the registration authority of the association
